General Terms and Conditions

 

 

 1. Subject Matter of the Contract:
1.1. The consultant provides consultancy services in the field of aircraft management.
1.2. The aircraft manager assumes responsibility for the organization and administration of aircraft on behalf of the client.

2. Consultant's Services:
2.1. The consultant offers expert consultancy services in the aviation sector, including but not limited to aircraft purchase and sale, maintenance planning, fleet optimization, and legal aspects.
2.2. The consultant undertakes to carry out its services with due care, taking into account the interests and requirements of the client.

3. Aircraft Manager's Services:
3.1. The aircraft manager takes on the task of managing and coordinating aircraft on behalf of the client.
3.2. The aircraft manager's responsibilities include monitoring maintenance work, planning flight routes, coordinating crews, and ensuring compliance with safety standards.

4. Duration of Contract and Termination:
4.1. The duration of the contract is individually agreed upon between the parties.
4.2. Both parties have the right to terminate the contract by giving reasonable notice, unless otherwise agreed.

5. Remuneration:
5.1. The amount of remuneration for the services rendered is determined in a separate contract or based on hourly/daily rates.
5.2. All payments are to be made within the agreed deadlines and are considered net amounts, plus applicable taxes.

6. Liability:
6.1. The consultant and the aircraft manager are liable for damages caused by gross negligence or intent.
6.2. Any liability for indirect or consequential damages is excluded, unless otherwise required by law.

7. Confidentiality:
7.1. Both parties undertake to treat all confidential information disclosed under the contract confidentially and not to disclose it without the consent of the other party.
7.2. This obligation remains in effect even after the termination of the contract.

8. Jurisdiction and Applicable Law:
8.1. All disputes arising out of or in connection with this contract shall be governed by the law of the country in which the consultant is domiciled.
8.2. The place of jurisdiction for all disputes arising from this contract is the locally competent court at the consultant's place of business.

9. Final Provisions:
9.1. Amendments or supplements to this contract require the written form.
9.2. Should individual provisions of this contract be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions.
9.3. These GTC apply to all future business relationships between the parties, unless expressly agreed otherwise.

These General Terms and Conditions come into effect immediately and remain valid until revoked.
